The Service allows restaurants to offer online ordering to their customers via our platform. Restaurants will be charged a monthly fee for using the Service. Alister does not provide any food, beverages or other products or services to customers. We simply facilitate the online ordering process between the restaurant and their customers.

2. Restaurant Responsibilities
Restaurants are responsible for maintaining the accuracy of their menu and pricing information on the Service. Alister is not responsible for any errors or inaccuracies in this information. Restaurants are also responsible for fulfilling all orders placed through the Service in a timely and accurate manner.

3. Payment
Restaurants will be charged a monthly fee for using the Service. Payment is due on the first day of each billing cycle. Alister reserves the right to suspend or terminate access to the Service for any restaurant that fails to pay its monthly fee.

4. Privacy
Alister takes the privacy of our users seriously. We collect and use personal information in accordance with our Privacy Policy, which is available on our website.

5. Disclaimer of Warranties
The Service is provided “as is” and without warranty of any kind. Alister makes no representations or warranties, express or implied, regarding the Service or any content or information contained therein. Alister disclaims all warranties, including, but not limited to, the warranties of merchantability, fitness for a particular purpose, and non-infringement.

6. Limitation of Liability
In no event shall Alister be liable for any damages, including, without limitation, direct, indirect, incidental, special, consequential, or punitive damages arising out of or in connection with the use of the Service. This limitation applies regardless of whether the damages arise out of breach of contract, tort, or any other legal theory.

7. Indemnification
You agree to indemnify, defend, and hold harmless Alister and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with your use of the Service.

8. Termination
Alister reserves the right to suspend or terminate your access to the Service at any time, without notice, for any reason. Upon termination, all rights granted to you under these Terms will immediately cease.

These Terms and your use of the Service shall be governed by and construed in accordance with the laws of the jurisdiction in which Alister is located, without giving effect to any choice of law or conflict of law provision or rule. Any legal suit, action, or proceeding arising out of or related to these Terms or the Service shall be instituted exclusively in the federal or state courts located in the jurisdiction in which Alister is located.

10. Entire Agreement
These Terms constitute the entire agreement between you and Alister with respect to the Service and supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and Alister. No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision, and Alister’s failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
